These Terms & Conditions ("Terms") constitute a legally binding agreement between you ("you", "Library Owner") and Seatly ("we", "us", "our"), governing your access to and use of the website and application at seatly.in ("Service"). By creating an account, completing a signup/purchase form, or otherwise using the Service, you agree to be bound by these Terms.
Seatly is operated as a sole proprietorship business registered in India, holding GSTIN 09CSZPP7741J1ZL. References to "Seatly", "we", "us", or "our" in these Terms refer to this proprietorship and its proprietor, Manish Prajapati.
By registering for or using Seatly, you confirm that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, and our Refund Policy, each of which is incorporated into these Terms by reference. If you do not agree, you must not use the Service.
You must be at least 18 years old and legally capable of entering into a binding contract under the Indian Contract Act, 1872 to register as a Library Owner. By registering, you represent and warrant that you operate, own, or are duly authorised to operate the library or study space you register on the Service.
When you complete the signup/purchase form for any plan, the username and password you enter in that form become your permanent login credentials for accessing your library's dashboard — there is no separate account-creation step. You will use these same credentials to log in at seatly.in/login.php for all future sessions.
You are solely responsible for: (a) maintaining the confidentiality of your login credentials, (b) ensuring the accuracy of the information provided during signup, and (c) all activity that occurs under your account, whether or not authorised by you. Seatly offers the following plans, full details of which are available on our Pricing page:

Every new account begins on the Free Trial for 30 days from the date of signup, with a limit of 100 seats and no charge. On expiry of the 30-day trial period, any seats not already assigned to an active student are automatically set to a disabled state and cannot be used to onboard new students until you upgrade to a paid plan. Your account, your data, and any students already active on a seat at the time of expiry are not affected or deleted by this process.
Paid plans are billed in advance through Razorpay. By subscribing to a paid plan and submitting your payment details, you authorise us to charge the applicable fee to your chosen payment method on a recurring monthly basis (Monthly plan) or annually (Annual plan), until you cancel in accordance with Section 15.
You agree not to create or maintain more active seats than your current plan's limit allows. If your seat count exceeds your plan's limit — including as a result of a downgrade or trial expiry — we reserve the right to restrict access to the excess seats until you either reduce your seat count or upgrade your plan.
All prices listed on the Pricing page are exclusive of applicable taxes unless stated otherwise. Goods and Services Tax (GST) and any other applicable statutory levies will be added to your invoice at the prevailing rate, in accordance with Indian tax law. A GST-compliant invoice will be made available for each payment where applicable.

We reserve the right to suspend or terminate access for any account found to be in breach of this section, without prior notice where urgent action is required to protect the Service or other users.
We aim to keep Seatly available and reliable, but we do not warrant or guarantee uninterrupted, error-free, or continuous access. The Service may be temporarily unavailable due to scheduled maintenance, updates, third-party infrastructure issues, or factors beyond our reasonable control.
The Seatly name, logo, software, source code, design, and all related intellectual property are the exclusive property of Seatly and are protected under applicable Indian intellectual property laws. Nothing in these Terms grants you any right or licence to use the Seatly name, logo, or branding except as necessary to use the Service as intended.
You retain ownership of the data you enter into the Service (including your library's records and student data), and grant Seatly a limited, non-exclusive licence to store, process, and display that data solely for the purpose of providing the Service to you.
The Service is provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, accuracy, or non-infringement, to the maximum extent permitted by applicable law.
To the maximum extent permitted by law, Seatly, its proprietor, and its affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages — including but not limited to loss of data, loss of revenue, loss of business, or reputational harm — arising out of or relating to your use of, or inability to use, the Service, even if advised of the possibility of such damages.
Our total aggregate liability to you for any and all claims arising from or related to these Terms or the Service shall not exceed the total amount you paid to Seatly in the 3 months immediately preceding the event giving rise to the claim.
You agree to indemnify, defend, and hold harmless Seatly, its proprietor, employees, and affiliates from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with: (a) your use or misuse of the Service, (b) your violation of these Terms, (c) your violation of any applicable law, or (d) your collection, storage, or processing of student data without proper consent or legal basis.
Seatly shall not be liable for any failure or delay in performance under these Terms resulting from causes beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, internet or telecommunications failures, power outages, or failures of third-party hosting, payment, or infrastructure providers.
You may stop using the Service or cancel your subscription at any time by following the process described in our Refund Policy. We may suspend or terminate your account, with or without notice, if: (a) you breach these Terms, (b) we reasonably suspect fraudulent or unlawful activity, (c) required to do so by law, or (d) payment for a paid plan fails and remains unresolved for more than 15 days after notice. Upon termination, your right to access the Service ceases immediately; certain data may be retained as described in our Privacy Policy.
In the event of any dispute, controversy, or claim arising out of or relating to these Terms or the Service, the parties shall first attempt to resolve the matter amicably through good-faith negotiation by contacting us at the details in Section 21. If the dispute is not resolved within 30 days, it shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996, conducted by a sole arbitrator mutually appointed by the parties, with the seat and venue of arbitration in India. The arbitration proceedings shall be conducted in English.
These Terms are governed by and construed in accordance with the laws of India. Subject to Section 16 (Dispute Resolution), the courts of India shall have exclusive jurisdiction over any matters not subject to arbitration.
If any provision of these Terms is found to be invalid or unenforceable by a court or arbitrator of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect. Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.
We may update these Terms from time to time to reflect changes in law, our Service, or business practices. Material changes will be communicated via the dashboard or email at least 7 days before taking effect. Continued use of the Service after changes take effect constitutes your acceptance of the revised Terms.
